Wyoming LLC Filing: Every Field, Fee and Gap, Explained
Wyoming LLC filing comes down to one form, the Articles of Organization, and a $100 state fee. You send it to the Wyoming Secretary of State, online through WyoBiz or on paper, and once it is accepted the LLC exists. That is the whole of Wyoming LLC filing: no member list, no operating agreement and no tax ID go to the state at this stage.
If you'd rather not fill in the form yourself, compare CORPBOLT's Wyoming LLC plans first.

What you file for a Wyoming LLC
The form behind Wyoming LLC filing is short: six numbered items, then a signature and contact block:
- Name of the LLC. It must include "Limited Liability Company", "LLC", "L.L.C." or another ending the statute lists, such as "Ltd. Liability Co."
- Close LLC election. Tick it only if you want the close LLC rules in the state's separate supplement.
- Registered agent name and physical address. The agent can be a Wyoming resident or a business entity authorized in Wyoming. The address must be a physical Wyoming address, suite number included. A drop box is refused; a PO box is accepted only alongside a physical address.
- Mailing address of the LLC.
- Principal office address.
- Certification. A checkbox consenting to electronic service of process at the email address on the form.
Then an organizer signs and prints a name, and you list a contact person, daytime phone and email. The email is required. The state sends reminders, notices and filing evidence there.
Notice what is missing: the form never asks who the members or managers are. The paper packet also carries a Consent to Appointment by Registered Agent page, signed by the agent.
WyoBiz or paper?
You can handle Wyoming LLC filing online through WyoBiz, the Secretary of State's online filing system. Online filings take Visa or MasterCard. Paper filings are paid by check or money order, and the paper instructions say processing takes up to 15 business days from receipt.
An LLC name that begins with the letter "A" cannot go through WyoBiz; those names must be filed on paper for manual review. If your name is "Apex Trading LLC", your Wyoming LLC filing goes in the mail.
What Wyoming LLC filing costs
Per the Wyoming Secretary of State fee schedule that took effect July 1, 2026, filing Articles of Organization for an LLC costs $100. Check the line in the state's business fee schedule (PDF).
Three extras can change the total:
- Card fee online. WyoBiz adds a credit card processing fee of 2.4% of the filing fee, minimum $1. On a $100 filing that is $2.40, so $102.40 in total.
- Name reservation, only if you are not filing yet. A reservation costs $60, holds the name for 120 days, and goes by mail with a check or money order. The name reservation form says plainly that if you are submitting Articles of Organization now, you don't need one.
- Expedited filing. The 2026 fee schedule lists expedited service at $700 for next business day and $1,400 for same business day. These are state fees, charged on top of the $100. One caveat: the Articles instructions (revised May 2022) still say Wyoming statutes do not allow expedited filing. If speed matters for your Wyoming LLC filing, confirm with the office before paying.

What the Wyoming filing doesn't cover
A finished Wyoming LLC filing gives you an LLC. It doesn't give you a tax ID, and it doesn't end what you owe the state.
The EIN is a separate IRS step
The employer identification number is not part of Wyoming LLC filing. It comes from the IRS, which says you never have to pay a fee for one. The IRS online EIN application needs the responsible party's SSN or ITIN and can't be used if the principal place of business is outside the US. A business based abroad applies by phone, fax or mail instead.
The annual report starts next year
Wyoming LLC filing is not a one-time cost. An annual report is due every year on the first day of the month you formed in: form on May 15 and it is due May 1. The license tax is $60 or two-tenths of one mill on the dollar ($.0002) of the company's assets located and employed in Wyoming, whichever is greater. The math: assets in Wyoming would have to pass $300,000 before the tax rises above $60.
You can file up to 120 days early, and the state emails reminders 60, 30 and 10 days ahead. Miss the date and the LLC is delinquent on the second day of the following month; 60 days after the due date it is administratively dissolved. Reinstating within two years means paying every missed report and fee plus a $100 reinstatement fee.
Federal forms for foreign owners
When a single non-US person owns the LLC, the IRS treats it as a foreign-owned disregarded entity. It has no income tax return of its own, but in any year with reportable transactions, such as the owner putting money in or taking it out, it must file a pro forma Form 1120 with Form 5472 attached, due April 15 for a calendar-year company. The penalty for not filing is $25,000. Whether the income is taxed in the US or at home depends on your facts, so ask a tax professional.

Five checks before your Wyoming LLC filing goes in
- The name carries LLC, L.L.C. or another allowed ending, and does not start with "A" if you want to file online.
- The registered agent has a physical Wyoming address, not a drop box.
- The email on the form is one you actually read.
- An organizer signs, and your registered agent has agreed to serve.
- You have budgeted $100 plus the card fee now, and at least $60 for next year's report.
